B3´s subsidiaries are:

B3 SETTLEMENT BANK (“BANCO B3 DE SERVIÇOS DE LIQUIDAÇÃO E CUSTÓDIA S.A.”)

In order to serve customers and the specificities of its market, B3, through its wholly-owned subsidiary Banco B3, which started its activities in 2004, offers participants in the markets under its management and its customers with settlement and qualified custody. Additionally, through Banco B3, B3’s clearings have immediate access to the Banco Central do Brasil rediscount system, which mitigates the liquidity risk they face, especially when there is a need to execute and/or monetize federal public securities deposited in guarantee.

B3 S.A. – BRASIL, BOLSA, BALCAO LTD. (“B3 UK”)

A wholly-owned subsidiary B3 SA – Brasil, Stock Exchange, Balcao UK Ltd., located in London, aims to represent B3 abroad, through the relationship with other exchanges and regulatory agents, as well as to help prospect new customers for the market, within the respective regulatory limits.

B3 INOVA USA LLC (“B3 INOVA”)

A wholly-owned subsidiary incorporated in 2017, registered in Wilmington (USA), its purpose is to implement the technology investment policy adopted by the Company.

B3 S.A. USA CHICAGO LLC (“B3 USA”)

A wholly-owned subsidiary incorporated in Delaware (USA) in January 2020 in order to promote B3’s institutional representation abroad.

B3 DIGITAS LTDA. (“B3 DIGITAS”)

Limited liability company established in begin of 2022, headquartered in São Paulo, whose corporate purpose is to provide or license environments or systems related to transactions involving virtual assets, to enable transactions for the purchase and sale of such assets, to verify the existence and ownership of assets traded in a virtual environment, to constitute a database and related activities, including the organization, management, and collection of registration information and data intelligence, and to participate in other companies as a partner, shareholder, or associate.

BM&FBOVESPA BRV LLC (“BRV”)

A wholly-owned subsidiary, BRV, registered in Delaware (USA) under the strategic partnership between B3 and CME Group, is the co-owner, together with B3, of all intellectual property rights related to the share module of the platform PUMA Trading System, and any other modules jointly developed by the parties, whose ownership is attributed to B3. Since it has a primarily subsidiary and rights-safeguarding function, there is no prediction that such an entity, for a specific purpose, has operational activities.

RIO DE JANEIRO STOCK EXCHANGE, OR BVRJ (“BOLSA DE VALORES DO RIO DE JANEIRO”)

BVRJ, a subsidiary of B3, is an inactive stock exchange that since 2004 has rented part of the physical space of its headquarters building. The Bolsa do Rio Convention Center is available for seminars, conferences, training activities, and private meetings.

CENTRAL DE EXPOSIÇÃO A DERIVATIVOS (“CED”)

In June 2020, B3 completed the acquisition of CED, a non-profit entity that offers the capital market transparency on the positions of derivatives contracted in Brazil, allowing a more accurate assessment of financial institutions in granting credit to companies in this type of operation.

CETIP INFO TECNOLOGIA S.A. (“CETIP INFO”)

It is a wholly-owned subsidiary of the Company, whose corporate purpose is to provide data processing and computer systems management services, advisory and commercial representation for its account and third parties, business intermediation in general, except in the real estate area, and participation in the capital of other companies, in the same industry or not.

CETIP LUX S.À.R.L. (“CETIP LUX”)

It is a limited company wholly owned by the Company, headquartered in Luxembourg, whose corporate purpose is to acquire stakes in the capital of any companies or entities established in any form and to raise financial resources.

BSM MARKET SUPERVISION (“BSM”)

Is a not-for-profit association organized as a self-regulatory and market surveillance organization, which consistent with CVM Ruling 461/07, is responsible for regulatory and oversight activities relative to the markets we operate. BSM is not consolidated in our financial statements.

BLK SISTEMAS FINANCEIROS LTDA. (“BLK”)

In 2019, B3 acquired a 75% stake in BLK, a company founded in 2008 and specialized in electronic & algorithmic trading in Brazil, having completed the acquisition of all of its share capital in September 2020. BLK creates and develops software and algorithms execution of orders for the capital and financial derivatives markets, including RoboTrader, its main platform.

PDTEC

The PDtec is a limited company headquartered in Barueri, State of São Paulo, whose corporate purpose is to provide solutions to notary service clients, increasing the efficiency of such services through the provision of the following services: (i) integration and registration electronic documents for document authentication purposes; (ii) sending and confirming the opening of e-mails; (iii) technical support, maintenance, and other information technology services; (iv) production of electronic documents with legal value; (v) document dispatchers; and (vi) credit collection and recovery.

Neoway

In 2021, B3 concluded the acquisition of Neoway, a joint-stock company headquartered in Florianópolis, State of Santa Catarina. The corporate purpose of which is to organize and complement the database of its clients with qualified information and provision of market intelligence services, through information technology, through a big data platform, artificial intelligence, and integrated analysis tools.

Neurotech

Founded in 2002, Neurotech is an analytical solutions company to support decision-making processes that require the analysis of large amounts of unstructured information in credit management, risk mitigation and fraud prevention. The acquisition of Neurotech is a customer-focused strategy of B3 in the data and analytics business, complementing the offer of data solutions in the credit, risk and insurance verticals. The integrated operation with B3 and Neoway leverages the growth potential of the data and analytics business, enhancing the development of combined solutions.

 

The associated companies in which B3 has a minority stake are:

RTM

B3 has a 20% stake in the affiliate RTM, a private communication network created especially for the financial sector. RTM manages data, voice and image services and develops specific solutions for users in the financial sector.

Dimensa

B3 has a minority stake of 37.5% in the share capital of Dimensa, a subsidiary of TOTVS resulting from the separation (carve-out) of the management solutions operation for the financial services segment. Dimensa’s portfolio includes: a platform of great prominence in the investment fund market, with solutions for the processing and control of middle and back offices; a core banking solutions platform aimed at small and medium-sized banks; and a processing and management platform for private label card operations.

The B3 Social Investment is a civil society organization, which was created in 2007 for the purpose of integrating and coordinating our social investment projects.
